Reduce Task Reseller Terms and Conditions

1. Eligibility and Use of Materials
Only individuals or entities with a paid, active Reseller Account are authorized to:

• Use Reduce Task’s website templates.
• Conduct or promote training, courses, or online education using the Reduce Task platform.
• Resell any AI service accounts or related tools offered by Reduce Task.

Violation of this clause may result in immediate suspension or termination of your account.

2. Business Sale – Right of First Refusal
If a reseller wishes to sell their business and has at least one paying customer, Reduce Task retains the right of first refusal. Resellers must notify Reduce Task in writing and offer the company the first opportunity to purchase the business.

3. Approved Vendors
Resellers must use only Reduce Task-approved vendors for services and tools related to the reseller program. Use of unauthorized vendors without prior written consent is a violation of this agreement.

4. Mobile App Resale Agreement
To resell mobile applications through the Reduce Task platform, resellers must sign a separate Mobile App Reseller Agreement.

5. Branding & Website Setup

• Resellers must use their own brand name and not display “Reduce Task” on their white-labeled websites.
• A one-time website installation fee of $250 is required. If unpaid, the reseller is responsible for self-installation. Any assistance requested thereafter is subject to Reduce Task’s representative hourly fee.

6. Video Content Usage
All video content provided for the Reseller Program may be downloaded and used for promotional purposes, as long as it pertains directly to the program.

7. AI Credits and System Limitations
No AI credit refunds will be issued for any reason. Glitches or errors within the AI systems are acknowledged as inherent to the technology and beyond Reduce Task’s control.

8. Payment & Billing

• Accurate billing information must be provided.
• Fees are billed according to your subscription plan.
• Non-payment may result in suspension or termination.
• Taxes are the responsibility of the reseller.

9. Termination and Suspension

• Accounts may be canceled by users at any time.
• Reduce Task reserves the right to suspend or terminate accounts for policy violations, illegal activity, or without cause.
• No refunds will be issued for terminated accounts.

10. Intellectual Property

• All Reduce Task logos, trademarks, and content are the exclusive property of Reduce Task.
• Resellers retain ownership of their uploaded content but grant Reduce Task a limited license to use it for service functionality.
• Unauthorized use or distribution of Reduce Task materials is strictly prohibited.

11. Acceptable Use Policy

• Services may only be used for lawful purposes.
• Content that is illegal, harmful, or violates third-party rights is prohibited.
• Attempts to hack or disrupt systems will result in immediate termination.

12. Limitation of Liability
Reduce Task provides its services “as is” and is not liable for any damages, data loss, service disruptions, or unauthorized access beyond reasonable control.

13. Indemnification
Resellers agree to indemnify and hold harmless Reduce Task, its employees, affiliates, and partners from any liabilities or claims resulting from violations of these Terms.

14. Penalties for Violations
Reduce Task reserves the right to impose penalties for non-compliance with these Terms, including but not limited to:

• A $500 administrative fee for each confirmed violation.
• Suspension of reseller access.
• Legal action and recovery of damages.

15. Arbitration Clause
These Terms are governed by the laws of the State of Texas. Any dispute shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

• Arbitration will occur in Dallas County, Texas.
• Each party is responsible for its legal costs unless ruled otherwise.
• The arbitration clause survives account termination.

16. Modifications to Terms
Reduce Task reserves the right to amend these Terms at any time. Changes will be published on our website. Continued use of services implies acceptance.

17. Vendor Liability Disclaimer
Reduce Task is not responsible for disputes between resellers and third-party vendors, unless Reduce Task is the stated vendor in an executed vendor agreement.
